i've seen this in a few places, and it does it on mine.
so i'm going to guess it is..
i can hear the hard drive spin down during the shutdown process, then it locks. i'm guessing windows is sending the poweroff commands and the mac isnt responding like windows expects.

I think its some of a bug. Not really bother me :)

Yeah, i'd kinda see a problem with that. Shutting down enables you to save your settings...and a host of other stuff.

It doesn't even get to "It is now safe to shut down your computer"?

the problem is Windows expects there to be a BIOS.
it would be sending command to it to shutdown/restart but they will fail so the system just dies

my XP install only hangs when i restart. a shut down command will actually shut the computer off. i would have rather had it work teh other way around, but beggars can't be choosers i guess.

My iMac 17" originally would lock up on either restart or shutdown in WinXP. Now it does a correct shutdown, but still lock on restart.
One thing I did, and I don't know if this has anything to do with it, is I removed one of the devices regarding to power (I believe it was "ACPI something", down in the second to last category in Device Manager. I then rebooted and it reinstalled the driver automatically...
Your mileage may vary.

Not knowing where this restart/shutdown problem resides, would it likely be able to be fixed without re-installing Windows?

Nope, just locks on the "Shutting down..." blue screen (not that kind of blue screen).

OrbitalComp's comment above looks like it's right on the money - see my detailed post over here (http://forum.onmac.net/showthread.php?p=4253#post4253). In a nutshell, deleting one of the ACPI entries did the trick for me as well, but I'd like to narrow down which one it is, as it can be a bit unpleasant.

I just went back in and retraced my steps...here is what I did:
Uninstalled only "ACPI Fixed Feature Button" and "ACPI Power Button". On my iMac 17", these were the first two entries under "System devices".
After uninstalling both items, I was prompted to reboot to finish. After rebooting, Windows went through and reinstalled them partially. The balloon at the bottom said the new devices may not work properly until rebooting. Windows then prompted me to reboot once again to finish.
After this second reboot, everything was back to normal in the Device Manager, all entries were there, and my shutdown still works fine.
Whatever this does, it definitely worked in my case, because prior to this, a shutdown would lock the computer at the shutting down screen...
